I think 12 you'll see a quote in there at some point. We never 13 ended up doing that. 14 Q If you can turn to -- when you performed 15 property management services, I know you said it 16 mainly was outside and landscaping and the like. 17 Did you ever -- and paying of utility bills. Did 18 you ever go inside the house on a routine basis, say 19 once a month or otherwise? 20 A Well, that was -- you asked me prior -- 21 2014. And as the years got -- yeah. As the years 22 have gone on, like just as of last year or this 23 year, we did routine maintenance on the inside of 24 the house as far as cleaning. I've been 7 inside that house before, at this time as well, but 8 there was no work that was being done there. 9 Q So from 2014 to, let's say, you know, 10 early 2020, you were performing more routine 11 cleaning services as well, and your invoices reflect 12 that? 13 A Yeah. I don't recall if it was 2014 or 14 not, but yes, my invoices will reflect what we 15 physically did inside the house, correct. 16 MR. WALKO: If you can turn to pages 16 17 and 17. That says that the 18 neighbor says that his sister purchased the house 19 and closed last week from a woman named Naomi. 20 Let's just stop there. And again, I just realized that reading 5 through these emails two days ago. Yes. In my 6 recollection, that Naomi was always the Naomi that I 7 described earlier that -- always thought that it was 8 Stella's daughter. 9 Q Okay. 10 A What made me second guess that was the 11 couple of days ago when I was reading through these, 12 and I said there's a tutor, which I don't remember 13 that email in 2013 that came through. So -- 14 Q So when you wrote this email to Mr. Rahn 15 in August on August 8th, your assumption was the 16 Naomi that you were writing about was the same 17 Naomi that you met in 2014? 18 A Yes. 19 Q If you turn to -- well, strike that. 20 Staying with your conversations with 21 Mr. Rahn. Did Mr. Rahn say anything else? I don't recall exactly how 12 it came out, and I'm not comfortable saying that 13 this is exactly what he said or what he didn't say. 14 I don't remember. 15 Q Well, then generally, what did he say? I 16 mean, it was only in August of 2020. 17 A He was very surprised. Right. So my 18 recollection of the conversation -- and again, I 19 tend to back it up in emails, which is why you'll 20 see that this says email -- is, Hey, Peter, did you 21 realize what was going on with this property? And 22 he had no idea. And then I Vision appraisaled the 23 house for him. I emailed him all this information 24 to show him who it was. I automatically, in my 800.DAL.8779 dalcoreporting.com DALCO WILLIAM PERFETTO 77 1 Q And how -- when you locked Naomi out of 2 the house, did you change the locks? 3 A Yes. 4 Q Did you ever speak to her about this? 5 A No. 6 Q When was the last time you saw her? 7 A I can't answer that question definitively. 8 The last time we had mention of her was through 9 Len's construction workers when they were building 10 his house. 11 Q And that was what year? 12 A I believe that was in the email as well. 13 Let me just circle back to that. Give me a second. 14 That was the -- that was the same time. It says, 15 Unfortunately, the house is a mess. The 16 construction crew working next door confirmed they 17 saw her as well as a man and a dog. A Yes. 3 Q All right. You learned that from 4 Brittany; is that right? 5 A Yes. So what we what we had done was 6 Gulf Beach, which is a beach right down from this 7 house, a private beach, and you have to have a pass 8 to go to it, so I used to let Brittany park in the 9 property, take a -- you know, a visual walkabout of 10 the property, make sure everything's good. She 11 would park her car, go down to the beach, and she 12 noticed that's when there was caution tape and cones 13 up saying no trespassing. I believe she reached out 14 to Len, and that's what brought us here. 15 Q When you say she reached out to Len, was 16 that because she saw Len on the property next door? 17 A You know what, I don't recall exactly how 18 that was, whether it was phone, text, or -- I don't 19 recall. I can clarify that. 20 Q Sure. Did Brittany take photos of the 21 property on that day? 22 A I think she did text me photos. I'd have 23 to look back. 24 Q Okay. Just hey, what's going on 13 with the property? You know, hey, the grass is 14 looking a little too long. Hey, the plow guys are 15 doing this. You know, just things to that nature. 16 Q So your prior communications with Len were 17 him calling you to discuss issues that he noticed 18 with the property? 19 A For the most part, yes. 20 Q Did he ever indicate that either he or his 21 sister might have an interest in purchasing the 22 property? 23 A I don't believe. To be honest with 2 you, to this day, I wouldn't even know what Len 3 looked like. You know, he probably alluded to, hey, 4 what's going on? Can you give me any information on it? 8 Q Did he ever ask whether it was for sale? 9 A No. 10 Q So in connection -- so with respect to 11 your conversation with Len either on or shortly 12 after August 8th, what was it that he specifically 13 said to you? 14 A Specifically, I can give you -- you know, 15 from my recollection, it was, hey, my sister 16 purchased this house. Except as otherwise provided by statute, an attachment may be issued only in an action on a claim or claims for money, each of which is based upon a contract, express or implied, where the total amount of the claim or claims is a fixed or readily ascertainable amount not less than five hundred dollars ($500) exclusive of costs, interest, and attorney's fees. (Code Civ. Proc. § 483.010.) The court shall issue a right to attach order if the court finds all of the following: (1) The claim upon which the attachment is based is one upon which an attachment may be issued. (2) The plaintiff has established the probable validity of the claim upon which the attachment is based. (3) The attachment is not sought for a purpose other than the recovery on the claim upon which the attachment is based. (4) The amount to be secured by the attachment is greater than zero. (Code Civ. Proc. § 484.090.) A claim has probable validity where it is more likely than not that the plaintiff will obtain a judgment against the defendant on that claim. (Code Civ. Proc. § 481.190.) The application shall be supported by an affidavit showing that the plaintiff on the facts presented would be entitled to a judgment on the claim upon which the attachment is based. ¿(Code Civ. Proc. § 484.030.)¿In contested applications, the court must consider the relative merits of the positions of the respective parties and make a determination of¿the probable outcome of the litigation.¿ (Hobbs v. Weiss (1999) 73 Cal.App.4th 76, 80.) Code of Civil Procedure section 482.040 states in pertinent part: The facts stated in each affidavit filed pursuant to this title shall be set forth with particularity. Except where matters are specifically permitted by this title to be shown by information and belief, each affidavit shall show affirmatively that the affiant, if sworn as a witness, can testify competently to the facts stated therein. As to matters shown by information and belief, the affidavit shall state the facts on which the affiant's belief is based, showing the nature of his information and the reliability of his informant. The affiant may be any person, whether or not a party to the action, who has knowledge of the facts. DISCUSSION A. Notice Plaintiff provided proper notice of the application. Plaintiff has also served the summons and complaint, and Defendants filed answers. B. Probable Validity of Plaintiffs Claims Plaintiff establishes that its claims are probably valid. The application is based on Plaintiffs causes of action for breach of contract, goods sold and delivered, account stated, and open book account. Plaintiff submits evidence that, starting in 2023, Defendant purchased clothing products from Plaintiffs assignor, Sinsunghui Fashion Co., Ltd. (Sinsunghui), pursuant to written purchase orders, with payment terms of 15 to 30 days after delivery. Sinsunghui delivered the products to Defendant, and there has not been a dispute over quality, quantity, or delivery issues. Starting September 2023, Defendant became behind on making payments on the purchases. Plaintiff submits evidence, including an account summary, showing that Defendant presently owes $535,320.35 based on the purchases it made from Sinsunghui. (See Zhao Decl. ¶¶ 2-12, Exhs. A, B.) The complaint is based on an assignment from Sinsunghui to Plaintiff. (Compl. ¶ 1.) A written assignment is attached to Plaintiffs declaration as Exhibit C, but was not authenticated in the declaration. However, the complaint is verified and states that Plaintiff is an assignee of a commercial claim of Sinsunghui. (Ibid.) Plaintiff also states, in his declaration, that he run[s] clothing business under the name of Sinsunghui and he handle[s] all of credit issues, collection issues, and/or other customers relations matters. (Zhao Decl. ¶ 2.) This is sufficient in the absence of an opposition or contrary evidence. Plaintiff requests attachment of $100,000 in attorneys fees and $10,000 in costs. Pursuant to Code of Civil Procedure section 482.110(b), the amount to be secured by the attachment may include an estimated amount for costs and allowable attorneys fees. (Code Civ. Proc. § 482.110(b), emphasis added.) Plaintiff has not submitted evidence of a contractual agreement for Defendant to pay attorneys fees in an enforcement action. Accordingly, the court will limit attachment of attorneys fees to the $1,200 authorized by Civil Code section 1717.5(a) for an open book account. (See Yong Bom Lee Decl. ¶ 10.) On this record, the request for $10,000 in costs also appears excessive. (See Ibid.) The court will limit attachment of costs to $5,000. Based upon the foregoing, Plaintiff has shown probable validity of a claim for damages in the amount of $541,520.35 ($535,320.35 + $1,200 + $5,000). The court will issue the writ of attachment for this amount. C. Basis of Attachment Plaintiff establishes a sufficient basis for attachment. [A]n attachment will lie upon a cause of action for damages for a breach of contract where the damages are readily ascertainable by reference to the contract and the basis of the computation of damages appears to be reasonable and definite. (CIT Group/Equipment Financing, Inc. v. Super DVD, Inc. (2004) 115 Cal.App. 4th 537, 541.) In this case, Plaintiffs application for writ of attachment is based on a contract claim for which the total amount allegedly due is in excess of $500. The claim is not secured by real property. Plaintiffs damages are fixed and readily ascertainable from the terms of the contract and Plaintiffs declaration. D. Purpose and Amount of Attachment The court finds that the attachment is not sought for a purpose other than the recovery on the claim upon which the attachments is based and the amount to be secured by the attachment is greater than zero. E. Reduction of Amount to be Secured, and Exemptions Defendant does not argue, or show, that the amount of attachment should be reduced pursuant to Code of Civil Procedure section 483.015(b). Defendant also has not claimed any exemptions. F. Subject Property Defendant is a corporation and not a natural person. Accordingly, all corporate property for which a method of levy is provided by Article 2 (commencing with Section 488.300) of Chapter 8 may be attached. (Code Civ. Proc. § 487.010(a).) G. Undertaking Code of Civil Procedure section 489.210 requires the plaintiff to file an undertaking before issuance of a writ of attachment. Section 489.220 provides, with exceptions, for an undertaking in the amount of $10,000. Neither party has argued for a different amount of undertaking. H. Turnover Order Plaintiff seeks a turnover order. (See Proposed Order on form AT-120 ¶ 3.d.) If a writ of attachment is issued, the court may also issue an order directing the defendant to transfer to the levying officer either or both of the following: [¶] (1) Possession of the property to be attached if the property is sought to be attached by taking it into custody. [¶] (2) Possession of documentary evidence of title to property of or a debt owed to the defendant that is sought to be attached. (Code Civ. Proc. § 482.080 [bold italics added].) Plaintiff has not shown the applicability of this section to its attachment request or briefed the necessity of this additional remedy. Plaintiff does not seek attachment by taking property into custody or property that is titled to Defendants. Therefore, the request for a turnover order is denied. CONCLUSION AND ORDER Based upon the foregoing, the court orders as follows: 1. The application for a writ of attachment is granted in the reduced amount of $541,520.35. 2. The request for a turnover order is denied. 3. Plaintiff shall post an undertaking in the amount of $10,000 within ten (10) days. 4. Plaintiffs counsel shall prepare and lodge a revised Right to Attach Order After Hearing and Order for Issuance of Writ of Attachment on Form AT-120 reflecting the courts ruling. 5.
